ASL won't quit rebooting

I installed V4.0 on a P3 866 with 128MB and 10GB.  
I previously ran V3 on it without any problems.  
I did a clean install of V4 but now it won't boot properly.  Each time it comes up to the point where it says
'Filesystem check running - please standby', it reboots.  
I reinstalled W2K on it, and that runs fine so I don't think it's a hardware problem.  I reinstalled V4, added an other 128MB but the results is always the same.  It just keeps on rebooting.  Also removing one of the 3 nics didn't help.
Any clues?
