ASL won't quit rebooting

I installed V4.0 on a P3 866 with 128MB and 10GB.  
I previously ran V3 on it without any problems.  
I did a clean install of V4 but now it won't boot properly.  Each time it comes up to the point where it says
'Filesystem check running - please standby', it reboots.  
I reinstalled W2K on it, and that runs fine so I don't think it's a hardware problem.  I reinstalled V4, added an other 128MB but the results is always the same.  It just keeps on rebooting.  Also removing one of the 3 nics didn't help.
Any clues?

    yup, memory is fine.  I swapped memory with an other computer and still have the same behaviour.
    Strangely, every now and than it boots up ok (maybe once in 20 times or so).
    The pc works fine when I install W2K on it.
