Error: 80040401 Software Update failed

Initial Update went fine after reinstall, now I keep getting fails with this.   

Outstanding alerts and errors           
Update manager status

The knowlege base takes me to a loop of related errors that have not end.

Updatemanager log gives me this.

 Edit update from the logviewer after following another tech note to repopulate the warehouse.

    Hello Sid_RE,

    can you find a line with boost::filesystem::exists in the corresponding SUMTrace log? If so - please post a few of the preceding lines. Might also be worth to empty the share (CID) it's attempting to write to.

    2 files I cannot takeownership of and delete

    1033.mst and setupenu.dll

    Ok got the files out of there.  Reran update and now 

    5/25/2012 9:02:34 AM 80040408  Unable to write to distribution location \\REAPPS01\SophosUpdate for software subscription 'Recommended'.

    5/25/2012 9:03:30 AM 80040406  Delivery failed for software subscription 'Recommended'. Access to the source update location is denied or the location is otherwise unavailable.

    So i recreated the share, checked to make sure both share and NTFS permissions has Sophos having rights and it seems to be populating the warehouse.  I will update when it does something.
