site to site vpn between two utms

1) do i need to buy the licences file for both utms (I currently only have it on one)

2) is there any sort of best practices for setting up a permanent site to stie vpn between two utm 120's?

    Yes.

    Make your decision between IPSec and SSL VPN.
    Prefer SSL if at least one UTM is behind a NAT device.
    The rest is pretty easy and well described in the online help.
