site to site vpn between two utms

1) do i need to buy the licences file for both utms (I currently only have it on one)

2) is there any sort of best practices for setting up a permanent site to stie vpn between two utm 120's?

    Yes.

    Make your decision between IPSec and SSL VPN.
    Prefer SSL if at least one UTM is behind a NAT device.
    The rest is pretty easy and well described in the online help.

    Actually, there's another option avaiable in the UTM - RED.  It's possible to build a RED tunnel between two UTMs.  This is a modified SSL VPN tunnel that does most everything that MPLS does, but without the added monthly cost,

    If you do use the SSL VPN, be sure to change the protocol from TCP to UDP before you download the client.

    I agree with Scorpionking that, even though it's possible to make IPsec work behind NAT, it's easier to use the SSL VPN.
